PMBLUEPRINTS TERMS OF USE & LICENSE AGREEMENT

This Terms of Use and License Agreement ("Agreement") governs your access to and use of the PMBlueprints platform, products, services, tools, templates, and all associated content (collectively, the "Platform"), provided by PMBlueprints ("Company," "we," "us," or "our").

By accessing or using any part of the Platform, you agree to be bound by this Agreement. If you do not agree to all terms, you may not use the Platform.

1. LICENSE GRANT

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform and its materials solely for personal or internal business purposes.

2. LICENSE RESTRICTIONS

You may not:

• Copy, reproduce, duplicate, download, or distribute any templates, dashboards, workflows, content, or code outside of your organization;
• Modify, adapt, translate, or create derivative works based on the Platform or any part of it;
• Sell, sublicense, lease, share, publish, display, or otherwise exploit the Platform, its features, or its contents for commercial resale or redistribution;
• Share access credentials with unauthorized users;
• Use the Platform in any way that violates applicable laws or infringes on our intellectual property rights.

3. OWNERSHIP AND INTELLECTUAL PROPERTY

All content, tools, templates, dashboards, workflows, and materials within the Platform are owned by PMBlueprints and protected by copyright, trademark, and other intellectual property laws. No ownership rights are transferred to you under this Agreement.

All trademarks, logos, and brand elements are the exclusive property of PMBlueprints and may not be used without written permission.

4. USER ACCOUNTS

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. SUBSCRIPTION AND PAYMENT

Certain features of the Platform require a paid subscription. By subscribing, you agree to pay all applicable fees. Subscriptions automatically renew unless cancelled before the renewal date.

6. TERMINATION

We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform will immediately cease.

7. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. LIMITATION OF LIABILITY

IN NO EVENT SHALL PMBLUEPRINTS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

9. INDEMNIFICATION

You agree to indemnify and hold harmless PMBlueprints and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of this Agreement.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11. CHANGES TO TERMS

We reserve the right to modify this Agreement at any time. Changes will be effective upon posting to the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified terms.
